Governing Law

These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

Any dispute, controversy or claim arising out of or relating to these Terms or your use of this Site shall be determined by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party.

The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or Eau De Juice may seek any interim or preliminary relief from a court of competent jurisdiction in Delaware necessary to protect your or Eau De Juice’s rights or property pending the completion of arbitration.

Should either party file an action contrary to this provision, the other party may recover attorney’s fees and costs up to $5000.

Severability

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, you agree the remainder of the Terms will remain in full force and effect.

Assignment

You may not assign these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms in our sole discretion to any successor in interest, without your consent.

Entire Agreement

These Terms constitute the entire agreement between you and Eau De Juice with respect to the Site and supersede any prior agreements.
